Welcome to Factum. These General Terms of Use (the "Terms") form a legally binding agreement that governs your access to and use of the website factum.law, the application chat.factum.law, and all related software, data, content and services (collectively, the "Services"). The Services are owned and operated by FAKTUM DOO Skopje, a company established in the Republic of North Macedonia ("Factum", "we", "us" or "our").
By registering an account, clicking an acceptance button, or otherwise accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree with these Terms in their entirety, you must not access or use the Services.
If you use the Services on behalf of a legal entity (such as your employer, client or other organization), you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers both to you as an individual and to the entity you represent.
These Terms incorporate by reference our Privacy Policy and our Refund Policy, which together with these Terms constitute the entire agreement between you and Factum.
User ("you"):
a natural or legal person, and their authorized users, who accesses or uses the Services under a valid subscription or trial.
Account:
the unique, personalized account created for you to access the Services, protected by login credentials.
Input Content:
the questions (prompts), text, data, documents, images and other content that you enter, upload or otherwise submit to the Services for processing.
Output Content:
the text, analyses, summaries, documents and other content generated and returned by the Services in response to your Input Content.
User Content:
Input Content and Output Content together, specific to your interaction with the Services.
Intellectual Property:
all intellectual-property rights, including but not limited to copyright and related rights, trademarks, patents, trade secrets, designs and other proprietary rights recognized by law.
Merchant of Record / Paddle:
Paddle.com Market Ltd, the authorized reseller and merchant of record through which online subscription purchases are made (see Section 6).
Factum is an artificial-intelligence legal platform that performs legal research and generates documents and answers based on legislation, regulations and case law across multiple European jurisdictions. The Services use a Retrieval-Augmented Generation (RAG) architecture built on an enterprise large-language-model provider.
The Services are an informational and productivity tool. They do not constitute legal advice and do not create a lawyer–client relationship. See Section 9.
License grant.
Subject to your full compliance with these Terms, Factum grants you a non-exclusive, non-transferable, limited and revocable license to access and use the Services solely for your personal or internal business needs, for the duration of your active subscription and in accordance with the specifications of your subscription package. One license represents access by one named user from one computer device and one mobile device.
Your Account.
On registration you agree to provide accurate, current and complete information. You are responsible for safeguarding your password and credentials and for all activity that occurs under your Account, whether or not authorized by you. You agree to notify us immediately of any unauthorized use or security breach. Factum is not liable for loss arising from your failure to protect your credentials.

Your Input Content.
You retain all rights you hold in the Input Content you create and submit. By submitting Input Content, you grant us a limited, non-exclusive, royalty-free license to use, process and store it solely for the purpose of providing the Services to you, including generating Output Content and providing technical support.
Your Output Content.
Subject to your full compliance with these Terms, Factum assigns to you all of its rights, title and interest in the specific Output Content generated for you, which you may use for any purpose, including commercial purposes. You are solely responsible for the Output Content you use and must ensure its use complies with applicable law and professional standards.
Content similarity.
Due to the nature of artificial intelligence and large language models, the Services may generate identical or similar Output Content for different users who submit similar queries. You have no rights to Output Content generated for other users, and vice versa.
Factum's ownership.
We retain all rights, title and interest in the Services themselves, including the platform, software, user interface, prompts, algorithms, models, documentation and branding. These Terms grant you no ownership in the Services.
Feedback.
If you provide suggestions or feedback regarding the Services, you grant us a non-exclusive, perpetual, irrevocable, fully paid, royalty-free right to use and commercialize it without restriction or obligation to you.
Subscriptions.
Access to the Services is provided on a subscription basis. Available packages, their features and prices are published at factum.law/pricing. We may change prices, with each change taking effect from your next subscription period, and we will notify you in advance.
Free trial.
We offer a 14-day free trial, which does not require a payment card and is limited to a maximum of 10 questions (queries). The trial lets you evaluate the Services before committing to a paid plan; at the end of the trial period, or once the 10-question limit is reached, the Services will continue only if you choose to subscribe. We may modify, limit or withdraw trial offers at any time, and trials may be limited to one per user or organization.
Online payments — Merchant of Record.
Online subscriptions are sold and processed through Paddle.com Market Ltd, acting as our Merchant of Record and authorized reseller. This means you purchase the subscription from Paddle, while the Services are licensed to you by Factum under these Terms. When you complete a purchase, you also agree to Paddle's Checkout Buyer Terms. Online prices are displayed and charged in EUR, and Paddle is responsible for calculating, collecting and remitting any applicable VAT or sales tax. Paddle appears on your bank or card statement and handles billing, invoicing, refunds and chargebacks on our behalf.
Enterprise billing.
For Enterprise customers, fees are agreed individually and invoiced directly by Factum (manual invoicing), under the payment terms set out in the applicable order form, quotation or separate written agreement.
Payment and renewal.
Unless otherwise agreed, fees are payable in advance for the selected period (monthly or yearly) and subscriptions renew automatically for successive periods until cancelled. If a payment fails, we (or Paddle) may suspend your access until the amount due is paid.
Cancellation.
You may cancel at any time through your Account settings, through Paddle, or by contacting our support. Cancellation takes effect at the end of the current paid period, and you retain access until that date.
Refunds.
Refunds are governed by our Refund Policy, which forms part of these Terms. In summary, because we provide a 14-day free trial (no payment card required) as your evaluation period, paid subscription fees are non-refundable, except where a refund is required by law or granted by us at our discretion.
Confidentiality and access.
Factum maintains commercially reasonable physical, technical and administrative safeguards to protect the confidentiality, integrity and security of User Content. You acknowledge that the architecture of the Services makes it technically possible for a strictly limited number of authorized Factum personnel to access User Content, but only to the extent reasonably necessary to: (a) perform the Services on your behalf (for example, to resolve a technical issue you have reported); (b) respond to lawful requests from competent authorities; (c) comply with applicable law, regulation or court order; (d) investigate and help prevent security threats, fraud or other unlawful or malicious activity; or (e) establish, exercise or defend Factum's legal rights.
No model training.
We will not use your Input Content or Output Content to train, fine-tune or improve our AI models or those of any third party. This commitment is fundamental to the Services and binds our sub-processors. Our AI provider operates under an enterprise configuration with a training opt-out and a confirmed Zero Data Retention arrangement.
EU-only processing.
All processing and storage of your User Content takes place exclusively within the European Union / European Economic Area. No Input Content or Output Content is processed outside the EU.
Personal data.
Our collection, use and protection of personal data are described in our Privacy Policy, which forms an integral part of these Terms and is governed primarily by the GDPR (Regulation (EU) 2016/679). Where Factum processes personal data on your behalf, it does so as a Processor in accordance with Article 28 GDPR; Enterprise customers may enter into a separate Data Processing Agreement (DPA).
We aim to provide reliable, continuous access but do not guarantee uninterrupted availability. We may perform maintenance, updates and changes to the Services. Support is provided according to your subscription package; specific service levels (uptime targets, response times, RTO/RPO) may be agreed with Enterprise customers in a separate SLA.
"As is".
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or that they will meet all of your requirements.
Output Content is not legal advice.
Output Content is produced by artificial intelligence and may contain inaccuracies, errors, or incomplete or outdated information ("hallucinations"). Output Content does not constitute legal advice and is not a substitute for consultation with a qualified professional. You are solely responsible for reviewing and verifying the accuracy, completeness and suitability of any Output Content before relying on it, and you should not act, or refrain from acting, on the basis of Output Content without professional review. The Services do not replace the judgment of a licensed lawyer, and use of the Services does not create a lawyer–client relationship with Factum.
To the maximum extent permitted by law, Factum's total aggregate liability for any direct damages arising out of or related to these Terms or the Services shall not exceed the amount you paid for the Services in the twelve (12) months preceding the event giving rise to the claim. Factum shall not be liable for any indirect, incidental, special or consequential damages (including lost profits, loss of data, loss of goodwill or business interruption). These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for damage caused intentionally or by gross negligence.
You agree to indemnify and hold Factum harmless from third-party claims arising out of your Input Content, your use of the Services in breach of these Terms, or your violation of applicable law or third-party rights.
Term.
These Terms apply from the moment you begin using the Services and remain in effect until terminated.
Termination by you.
You may stop using the Services and terminate this agreement at any time by cancelling your subscription and/or deleting your Account; your subscription will end at the close of the current paid cycle.
Termination by us.
We may suspend or terminate your access if you materially breach these Terms. We will make reasonable efforts to notify you beforehand, except where immediate action is required to protect the Services, other users or third parties.
Effect of termination.
On termination, your right to use the Services ceases. You may request an export of your data, and your data will be deleted in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including those on intellectual property, confidentiality, disclaimers, limitation of liability, and governing law and disputes) survive.
Governing law.
These Terms are governed by and construed in accordance with the laws of the Republic of North Macedonia, without regard to conflict-of-law rules. Mandatory consumer-protection rights available to you in your country of residence remain unaffected.
Dispute resolution.
The parties will attempt to resolve any dispute amicably. Failing that, the Civil Court Skopje, Republic of North Macedonia, shall have jurisdiction, without prejudice to any mandatory jurisdiction available to consumers under applicable law.
Force majeure.
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, such as natural disasters, war, terrorism, pandemics, or interruptions to power or internet services.
Changes to the Terms.
We may amend these Terms. We will notify you of material changes by email or through a clear notice on the platform at least 15 days before they take effect. Your continued use of the Services after the changes take effect constitutes acceptance.
Assignment.
You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of assets, on notice to you.
Severability and waiver.
If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of it.
Entire agreement.
These Terms, together with the Privacy Policy, the Refund Policy and any applicable order form or separate written agreement, constitute the entire agreement between you and Factum and supersede all prior agreements and communications.
